1. Acceptance
By downloading, installing, or using the Talking Tags iOS application ("the App") or by accessing the cometassociates.com website ("the Site"), you agree to these Terms of Use ("Terms"). If you do not agree, do not use the App or the Site.
These Terms supplement, but do not replace, Apple's Licensed Application End User License Agreement ("Apple LAEULA"), which governs your license to use the App as distributed through the App Store. Where these Terms and the Apple LAEULA conflict, the Apple LAEULA controls with respect to your use of the App.
2. License
Subject to these Terms, Comet Associates grants you a limited, non-exclusive, non-transferable, revocable license to install and use the App on Apple-branded devices that you own or control, solely for your personal, non-commercial use. The App is licensed, not sold, to you.
3. Cost
Talking Tags is available as a free download that includes core labeling functionality, and we intend to keep a free version available. We may introduce optional paid features in the future that unlock additional capabilities. Any such features will be clearly disclosed before purchase, and the core labeling functionality included in the free version will remain free.
4. Restrictions
You agree that you will not:
- copy, modify, or create derivative works of the App;
- reverse-engineer, decompile, or disassemble the App, except as expressly permitted by applicable law;
- rent, lease, lend, sell, sublicense, or otherwise transfer the App;
- remove or alter any proprietary notices in the App;
- use the App in any way that violates applicable law or the rights of others.
5. Your data
The App stores your tag data on your device and, if iCloud sync is enabled, syncs it to your private iCloud account using Apple's CloudKit framework. Comet Associates does not collect, access, or process your tag data. See our Privacy Policy for full details.
You are solely responsible for the content you create within the App and for maintaining your own backups if needed.
6. Intellectual property
The App, the Site, and all associated content (including the "Comet Associates" and "Talking Tags" names, logos, and design elements) are owned by Comet Associates or its licensors and are protected by U.S. and international intellectual property laws. Nothing in these Terms transfers any of those rights to you.
7. Disclaimer of warranties
THE APP AND THE SITE ARE PROVIDED "AS IS" AND "AS AVAILABLE," WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE APP WILL BE UNINTERRUPTED, ERROR-FREE, OR FREE OF HARMFUL COMPONENTS.
Talking Tags is an accessibility utility intended to assist with object identification. It is not a substitute for medical, safety, or emergency services. Do not rely on Talking Tags as the sole means of identifying medication, hazardous materials, or anything else where misidentification could cause harm.
8. Limitation of liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW, COMET ASSOCIATES SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF DATA, PROFITS, OR REVENUE, ARISING OUT OF OR RELATING TO YOUR USE OF THE APP OR SITE. OUR TOTAL LIABILITY FOR ANY CLAIM ARISING OUT OF THESE TERMS WILL NOT EXCEED ONE HUNDRED U.S. DOLLARS (US$100).
9. Indemnification
You agree to indemnify and hold harmless Comet Associates, its principals, and its affiliates from any claim, loss, or expense (including reasonable attorneys' fees) arising out of your violation of these Terms or your misuse of the App or Site.
10. Apple-specific terms
You acknowledge that these Terms are between you and Comet Associates only — not with Apple — and that Comet Associates, not Apple, is solely responsible for the App and its content. Apple has no obligation to provide maintenance or support for the App. If the App fails to conform to any applicable warranty, you may notify Apple, who will refund the purchase price (if any); Apple will have no other warranty obligation. Apple is not responsible for addressing any claims by you or a third party relating to the App, including product-liability, consumer-protection, or intellectual-property claims. Apple and its subsidiaries are third-party beneficiaries of these Terms and may enforce them against you.
11. Termination
You may stop using the App at any time by deleting it from your device. We may suspend or terminate your access to the App or Site if you materially breach these Terms. Sections 5 through 10, 12, and 13 survive termination.
12. Governing law
These Terms are governed by the laws of the State of California, without regard to its conflict-of-law principles. Any dispute arising out of these Terms will be resolved exclusively in the state or federal courts located in California, and you consent to the personal jurisdiction of those courts.
13. Changes
We may update these Terms from time to time. The effective date above will reflect the most recent version. Material changes will be flagged on this page. Your continued use of the App or Site after a change constitutes acceptance.
